End User License Agreement

1. License grant

Resylr grants you a revocable, non-transferable, non-exclusive license to use the app for lawful personal and business resale activities during the term of an active subscription.

2. Restrictions

• You may not copy, modify, reverse engineer, decompile, or attempt to extract source code.
• You may not rent, lease, sublicense, sell, or distribute the app or its components.
• You may not circumvent security or technological measures in the app.
• You may not use the app in violation of applicable laws or third-party policies.

3. AI-generated content and intellectual property

• Resylr's AI features and underlying technology remain company property.
• Your rights: you retain ownership of the content you create and may export it for use in your resale listings.
• Our rights: app design, code, branding, and trademarks remain company property.

4. User responsibilities

• You are responsible for ensuring that your listings comply with third-party marketplace rules.
• Resylr is not liable for account suspensions, listing removals, or similar actions by external platforms.

5. Third-party services and integrations

• The app integrates with external APIs and services such as eBay, Poshmark, and Shopify.
• Those services are used at your own risk, and Resylr is not responsible for their changes or interruptions.

6. Liability, indemnification, and refunds

• No warranty: the app is provided "as is" without warranties.
• Liability cap: to the extent permitted by law, total liability is capped at the amount you paid in the prior three months.
• Indemnification: you agree to hold the company harmless from claims, damages, or expenses arising from breach of this agreement or unlawful use of the app.
• Subscriptions and refunds: subscriptions renew automatically unless canceled before renewal. Subscription management, cancellations, and refunds are handled through the platform or payment processor where the purchase was made, including the Apple App Store, Google Play Store, Stripe, or RevenueCat.

7. Termination and data

• Resylr may suspend or terminate your license if you breach this agreement.
• Upon termination, you must stop using the app and delete remaining copies where applicable.
• Data collection and deletion follow the Privacy Policy.

8. Dispute resolution and governing law

• Arbitration: disputes are resolved by binding arbitration under American Arbitration Association commercial rules, with waiver of jury trial and class actions.
• Location: arbitration takes place in Michigan, USA, with costs and fees governed by AAA rules.
• Either party may still seek relief in small claims court where applicable.

9. Updates

Resylr may update the EULA over time. Continued use of the app after an update means you accept the revised agreement.
